Tokopedia and Gojek Reportedly Signed CSPA Merger

Tokopedia and Gojek have reportedly signed a conditional sales and purchase agreement (CSPA) related to the merger agreement. The corporate valuation resulting from the merger is estimated at US$35 billion-US$40 billion.

Based on information obtained by D-Insights, Gojek shareholders will hold a 60 percent stake in the merged entity. Meanwhile, Tokopedia owns the rest. The giant technology company will first list its shares on the Indonesia Stock Exchange (IDX). If that is the case, Gojek-Tokopedia's merged entity will be the third-largest company after PT Bank Central Asia Tbk (BBCA) and PT Bank Rakyat Indonesia Tbk (BBRI) in terms of market capitalization on the IDX.
